Terms of Service

1. Acceptance of Terms

By creating an account or otherwise accessing or using the services provided by THE CANVAS APP INC (RUC 155693360-2-2020 DV10), including our websites, mobile applications, and related tools (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to all Terms, you may not use the Services.

2. Definitions

• “Account” means the user account created to access the Services.
• “Optimized Part” means a cabinet component processed through our optimization algorithm and third-party provider to minimize board usage.
• “Subscription” means a recurring, tiered plan that unlocks enhanced features for a monthly fee.

3. The Services

Our technology enables designers and architects to select pre-configured cabinet modules, adjust parameters such as materials and dimensions, receive real-time pricing, and generate manufacturing documentation. We integrate with a trusted third-party optimization provider to calculate the optimal number of boards required for production.

4. Eligibility & Account Registration

You must be at least 18 years old and capable of forming a binding contract to use the Services. You agree to provide accurate, complete, and current information when registering and to keep your Account credentials secure.

5. Pricing, Payment, Cancellation & Refunds

5.1 Pay-as-you-go Optimized Parts

Each Optimized Part is billed at a rate ranging from $0.10 to $2.00 USD, depending on material, size, and complexity. Pricing is displayed before checkout. You authorize us (and our payment processor) to charge your selected payment method for incurred fees.

Refunds & Cancellations. Because each Optimized Part is generated specifically for your project and cannot be reused once produced, fees for completed optimizations are non‑refundable. You may cancel a pending optimization request until you confirm payment; after payment is processed, the order is final.

5.2 Subscriptions

We offer tiered Subscription plans billed monthly. Features and pricing are shown at the time of purchase. Subscriptions automatically renew at the then-current rate unless cancelled at least 24 hours before the end of the current billing cycle.

Cancellation. You can cancel your Subscription at any time from your billing settings. Service will continue until the end of your current billing period, after which your Subscription will not renew.

Refunds. Subscription payments arenon‑refundable and we do not provide credits or refunds for partial‑month periods or unused features, except where required by law.

5.3 Right of Withdrawal (EEA/UK Consumers)

If you are a consumer resident in the EEA or the United Kingdom, you have a statutory right to withdraw within 14 days of subscribing without giving any reason. However, you acknowledge and expressly consent that we begin providing the Services immediately following your purchase and that, if you access or download any digital content or submit an optimization request during the withdrawal period, you lose your right to withdraw for that billing cycle.

5.4 Taxes

Listed prices exclude applicable taxes. You are responsible for all taxes, duties, and charges imposed by governmental authorities.

5.5 Late Payments

Failed or overdue payments may result in suspension of access to the Services until the balance is settled.

6. Intellectual Property

The Services and all related content, trademarks, logos, and software are owned by THE CANVAS APP or its licensors and are protected by intellectual‑property laws. We grant you a limited, non‑exclusive, non‑transferable license to use the Services in accordance with these Terms.

7. User Content

You retain ownership of designs, configurations, or other content you upload (“User Content”). By submitting User Content, you grant us a worldwide, royalty‑free license to host, display, and process such content for the purpose of operating and improving the Services.

8. Third‑Party Services

The Services incorporate third‑party components (including the board‑optimization provider). While we vet these providers, we do not control and are not responsible for their services. Your use of third‑party tools is subject to their terms.

9. Disclaimers

The Services are provided on an “as‑is” and “as‑available” basis without warranties of any kind, express or implied. We do not warrant that designs, prices, or optimization results will meet your expectations or requirements.

10. Limitation of Liability

To the maximum extent permitted by law, THE CANVAS APP shall not be liable for any indirect, consequential, incidental, special, or punitive damages, or for any loss of profits or revenues arising out of or related to your use of the Services.

11. Indemnification

You agree to indemnify and hold harmless THE CANVAS APP, its affiliates, and their respective directors, officers, employees, and agents from any claims, liabilities, damages, and expenses arising from your use of the Services or violation of these Terms.

12. Termination

We may suspend or terminate your Account at any time for breach of these Terms or if required by law. Upon termination, your license to use the Services ceases immediately.

13. Governing Law & Jurisdiction

These Terms are governed by the laws of the Republic of Panamá, without regard to conflict‑of‑law principles. Any disputes shall be resolved exclusively in the competent courts of Ciudad de Panamá.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via the Services or email. Continued use after the effective date constitutes acceptance of the revised Terms.
